Throughout these Terms and Conditions ("Terms"), the words "Company," "we," "our," and "us" refer, as applicable, to Commerce Plus Sdn. Bhd. (Malaysia) and Commerceplus Pte. Ltd. (Singapore), which operate within the Commerce Plus business and provide or support the Commerce Plus platform made available through https://partner.workwithcommerceplus.asia/ and related services.
The specific legal entity applicable to a user may depend on the user's jurisdiction, registration, contractual relationship, or the particular services being provided.
These Terms govern your registration for, access to, and use of the Commerce Plus platform, website, applications, and related services (collectively, the "Platform").
By creating an Account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms, our Privacy Policy, and any additional policies incorporated by reference.
If you do not agree with these Terms, you must not register an Account or use the Platform.
1. Definitions
For the purposes of these Terms:
Account means the registered user account created to access the Platform.
Company means Commerce Plus Sdn. Bhd. (Malaysia) and/or Commerceplus Pte. Ltd. (Singapore), as applicable to the relevant user, jurisdiction, contractual relationship, or Services, unless otherwise specified.
Merchant means any business, seller, retailer, or organization using the Platform.
Personal Data means any information in respect of commercial transactions that relates directly or indirectly to a data subject who is identified or identifiable from that information or from that and other information in the possession of a data controller, subject to applicable Malaysian data protection law.
Platform means the Commerce Plus website, applications, software, dashboards, APIs, and related online services.
Services means all products, functions, tools, and services provided through the Platform.
User, you, or your means any individual or organization accessing or using the Platform.
2. Eligibility
To register an Account or use the Platform, you represent and warrant that:
You are at least eighteen (18) years of age, or the minimum legal age required under the laws of your jurisdiction.
You have the legal capacity to enter into binding agreements.
All information you provide is true, accurate, complete, and up to date.
You are not prohibited from using the Platform under any applicable law or regulation.
If registering on behalf of a company or organization, you are authorized to bind that entity to these Terms.
The Company reserves the right to refuse, suspend, or terminate any registration that does not satisfy these eligibility requirements.
3. Account Registration
To access certain features of the Platform, you must create an Account.
When registering, you agree to:
Provide accurate, complete, and current information.
Maintain and promptly update your registration details.
Use only your own identity or an identity you are legally authorized to represent.
Register only one Account unless the Company expressly authorizes multiple Accounts.
You must not:
Provide false, misleading, or fraudulent information.
Impersonate another individual or organization.
Use stolen, fabricated, or unauthorized identification.
Create Accounts through automated means unless expressly authorized.
Register Accounts for unlawful or fraudulent purposes.
The Company may request supporting documentation to verify your identity or the accuracy of your registration information where reasonably necessary to comply with applicable law, protect the security of the Platform, or prevent fraud.
Registration of an Account does not guarantee continued access to the Platform. Access remains subject to these Terms and the Company's ongoing compliance, security, and operational requirements.
4. Identity Verification
To maintain a secure and compliant Platform, the Company may require identity verification before or after Account registration.
Verification measures may include:
Government-issued identification;
Proof of address;
Verification of contact information;
Verification of banking information where relevant;
Business registration documents for organizational Accounts; or
Any other documentation reasonably required to comply with applicable laws or regulatory obligations.
The Company may use trusted third-party service providers to assist with identity verification.
Failure to complete required verification may result in delayed registration, temporary suspension, restricted functionality, or termination of the Account.
5. Account Security
You are responsible for maintaining the confidentiality of your Account credentials, including your username, password, authentication methods, and any security codes associated with your Account.
You agree to:
Choose a strong and unique password.
Keep your login credentials confidential.
Notify the Company immediately if you become aware of any unauthorized access or suspected compromise of your Account.
Log out of shared or public devices after using the Platform.
You are responsible for all activities conducted through your Account unless applicable law provides otherwise.
The Company may implement additional security measures, including multi-factor authentication or other verification procedures, where reasonably necessary to protect users and the Platform.
6. Acceptable Use
The Platform is intended to provide lawful services in accordance with these Terms and applicable laws.
You agree to use the Platform responsibly, ethically, and only for its intended purpose.
You agree that you will not:
Use the Platform for any unlawful, fraudulent, deceptive, or misleading purpose;
Violate any applicable laws, regulations, or governmental requirements;
Interfere with or disrupt the operation, security, or integrity of the Platform;
Attempt to gain unauthorized access to any Account, system, database, network, or confidential information;
Introduce viruses, malware, ransomware, spyware, bots, scripts, or other malicious code;
Reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of the Platform, except where expressly permitted by applicable law;
Copy, reproduce, modify, distribute, or commercially exploit any part of the Platform without prior written authorization;
Upload or transmit content that is illegal, defamatory, abusive, discriminatory, threatening, obscene, or otherwise objectionable;
Use automated software or artificial means to create Accounts or access the Platform unless expressly authorized by the Company.
The Company reserves the right to investigate any suspected misuse of the Platform and take appropriate action, including restricting or terminating access where necessary.
7. Fraud Prevention and Compliance
The Company is committed to maintaining a secure and trustworthy Platform.
To protect users, merchants, and the integrity of the Platform, the Company may implement reasonable fraud prevention, risk management, and compliance measures.
These measures may include:
Identity verification procedures;
Transaction monitoring;
Risk-based security assessments;
Detection of unusual or suspicious activities;
Automated fraud prevention systems;
Manual compliance reviews where appropriate.
The Company may temporarily suspend, restrict, or review an Account if there are reasonable grounds to believe that:
Fraudulent activity has occurred;
False or misleading information has been provided;
The Platform has been used in violation of these Terms;
The security of the Platform or other users may be at risk; or
Such action is required to comply with applicable law or a lawful request from a competent authority.
Where reasonably practicable, the Company will notify the affected user of such action unless prohibited by law or where doing so could compromise security or an ongoing investigation.
8. Privacy and Personal Data
The Company respects your privacy and is committed to protecting your Personal Data.
Personal Data collected, used, disclosed, stored, or otherwise processed through the Platform will be handled in accordance with the Company's Privacy Policy and applicable Malaysian data protection requirements, including the Personal Data Protection Act 2010 [Act 709], as amended from time to time, and applicable regulations, standards, codes, guidelines, and lawful directions issued under it.
Where applicable, the Company may collect and process Personal Data for purposes including:
Account registration and administration;
Identity, contact, and payment-related verification;
Providing and improving the Services;
Fraud prevention, risk management, and Platform security;
Customer or user support;
Compliance with legal, tax, accounting, regulatory, or law-enforcement obligations; and

Nothing in this Section limits any rights granted to you under applicable privacy legislation.

10. Intellectual Property
The Platform and all related content are protected by applicable intellectual property laws.
Unless otherwise stated, all rights, title, and interest in and to the Platform, including its software, design, text, graphics, logos, trademarks, databases, documentation, technology, and other proprietary materials, are owned by or licensed to the Company.

11. User Content
You retain ownership of any content that you lawfully submit, upload, or transmit through the Platform ("User Content").
By submitting User Content, you grant the Company a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, display, and process such User Content solely for the purpose of operating, maintaining, securing, and improving the Platform.
You represent and warrant that:
You own or have the necessary rights to submit the User Content;
The User Content does not infringe the intellectual property or other rights of any third party;
The User Content complies with applicable laws and these Terms;
The User Content does not contain malicious software or unlawful material.
The Company reserves the right to remove or restrict access to User Content where reasonably necessary to comply with applicable law, protect the rights of others, maintain Platform security, or enforce these Terms.
12. Account Suspension and Termination
The Company reserves the right to suspend, restrict, deactivate, or terminate any Account where it reasonably determines that such action is necessary to protect the Platform, comply with applicable laws, or enforce these Terms.
An Account may be suspended or terminated if, including but not limited to, the user:
Violates these Terms or any applicable Company policy;
Provides false, inaccurate, misleading, or incomplete information;
Fails to complete required identity verification procedures;
Uses the Platform for fraudulent, unlawful, or unauthorized purposes;
Compromises the security, integrity, or availability of the Platform;
Infringes the intellectual property or legal rights of any third party;
Creates an unreasonable legal, regulatory, or security risk for the Company or other users;
Fails to comply with requests reasonably necessary for legal or regulatory compliance.
Where reasonably practicable, the Company will provide notice before taking action. However, immediate suspension or termination may occur without prior notice where necessary to:
Prevent fraud or unlawful activity;
Protect the security of the Platform;
Comply with applicable laws or lawful governmental requests;
Protect the rights, property, or safety of the Company, its users, or third parties.
Suspension or termination shall not affect any rights, obligations, or liabilities accrued prior to the effective date of such action.
13. Account Closure
You may request the closure of your Account at any time by following the procedures made available through the Platform or by contacting the Company's support team.
Before processing an Account closure request, the Company may require reasonable identity verification to prevent unauthorized requests.
Following Account closure:
Access to the Platform may be permanently revoked;
Certain information may remain retained where required by applicable law;
Records may be preserved for fraud prevention, legal compliance, dispute resolution, tax obligations, auditing, or enforcement of these Terms;
Personal Data will continue to be processed in accordance with the Company's Privacy Policy and applicable law.
The closure of an Account does not release either party from obligations that arose before the Account was closed.
14. Platform Availability and Maintenance
The Company strives to maintain the availability, reliability, and security of the Platform.
However, the Platform is provided on an "as available" basis, and uninterrupted access cannot be guaranteed.
The Company may temporarily suspend or limit access to the Platform for reasons including:
Scheduled maintenance;
Emergency maintenance;
Software upgrades;
Security enhancements;
Infrastructure improvements;
System testing;
Third-party service interruptions;
Internet or telecommunications failures;
Cybersecurity incidents;
Compliance with legal or regulatory obligations.
The Company may modify, replace, improve, suspend, or discontinue any feature, functionality, or Service at any time where reasonably necessary for operational, technical, security, or legal reasons.
Where required by applicable law, reasonable notice of material changes will be provided.
15. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Platform and all Services are provided on an "AS IS" and "AS AVAILABLE" basis.
Except as expressly stated in these Terms or required by mandatory law, the Company makes no representations or warranties, whether express, implied, statutory, or otherwise, including warranties regarding:
Merchantability;
Fitness for a particular purpose;
Non-infringement;
Availability;
Accuracy;
Reliability;
Compatibility;
Security;
Continuous operation;
Error-free performance.
The Company does not guarantee that:
The Platform will always be available;
Services will be uninterrupted;
Errors will be corrected immediately;
Information obtained through the Platform will always be accurate or complete;
Use of the Platform will achieve any specific commercial or financial outcome.
Nothing in this Section excludes any guarantee, warranty, right, remedy, or protection that cannot lawfully be excluded or restricted under the Consumer Protection Act 1999 [Act 599] or any other applicable mandatory law.
16. Limitation of Liability
To the maximum extent permitted by applicable law, the Company shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising out of or relating to the use of, or inability to use, the Platform or Services.
This limitation includes, without limitation:
Loss of profits;
Loss of revenue;
Loss of business opportunities;
Loss of goodwill;
Business interruption;
Loss or corruption of data;
Loss of anticipated savings;
Costs of substitute services;
Reputational damage.
Where liability cannot lawfully be excluded, the Company's total aggregate liability arising from or relating to these Terms shall not exceed the greater of:
The total amount paid directly by you to the Company during the twelve (12) months preceding the event giving rise to the claim; or
RM 500.
Nothing in these Terms excludes or limits liability for:
Fraud or fraudulent misrepresentation;
Willful misconduct;
Death or personal injury caused by negligence where applicable law so provides;
Any liability that cannot legally be excluded or limited.
17. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless the Company, its parent companies, subsidiaries, affiliates, directors, officers, employees, contractors, licensors, service providers, successors, and assigns from and against any claims, liabilities, losses, damages, judgments, penalties, costs, and reasonable legal fees arising out of or relating to:
Your breach of these Terms;
Your violation of applicable laws or regulations;
Your misuse of the Platform;
Your infringement of the rights of any third party;
Fraudulent, deceptive, or unauthorized conduct attributable to your Account.
This indemnification obligation shall not apply to the extent that the claim results directly from the Company's own fraud, willful misconduct, or negligence where such limitation is prohibited by applicable law.
18. Force Majeure
The Company shall not be liable for any delay, interruption, or failure to perform its obligations under these Terms where such delay or failure results from events beyond its reasonable control.
Such events may include, without limitation:
Natural disasters;
Floods;
Earthquakes;
Fires;
Epidemics or pandemics;
War, terrorism, or civil unrest;
Government actions or restrictions;
Power failures;
Internet or telecommunications outages;
Cybersecurity incidents;
Cloud infrastructure failures;
Labor disputes;
Acts or omissions of third-party service providers; or
Any other event that could not reasonably have been anticipated or prevented.
The Company will use commercially reasonable efforts to minimize the impact of such events and resume normal operations as soon as reasonably practicable.
19. Changes to the Platform and Terms
The Company may update, modify, enhance, suspend, or discontinue any part of the Platform or Services where reasonably necessary for operational, technical, legal, security, or business purposes.
The Company may also revise these Terms from time to time.
Where changes materially affect users' rights or obligations, the Company will provide reasonable notice through the Platform, by email, or by other appropriate means where required by applicable law.
Your continued use of the Platform after the effective date of the revised Terms constitutes your acceptance of the updated Terms, unless applicable law requires additional consent.
If you do not agree to the updated Terms, you must discontinue use of the Platform.
20. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Malaysia, including applicable principles under Malaysian contract and electronic commerce law, without prejudice to any mandatory law that applies to a particular transaction or user.
Nothing in these Terms limits any mandatory rights granted to consumers under the Consumer Protection Act 1999 [Act 599] or any other applicable law where such rights cannot legally be excluded or restricted.
In the event of any dispute arising out of or relating to these Terms or the Platform, the parties agree to first attempt to resolve the matter through good-faith negotiations.
If the dispute cannot be resolved within thirty (30) days after written notice, either party may submit the dispute to a court of competent jurisdiction in Malaysia, unless applicable mandatory law provides otherwise.
Where a user qualifies as a consumer and the dispute falls within the jurisdiction of the Tribunal for Consumer Claims Malaysia or another legally competent forum, nothing in these Terms prevents that user from exercising any right to bring a claim before such forum.
Nothing in this Section prevents either party from seeking urgent injunctive or equitable relief where necessary to protect its legal rights.
21. General Provisions
21.1 Entire Agreement
These Terms, together with the Privacy Policy and any additional policies expressly incorporated by reference, constitute the entire agreement between you and the Company regarding your use of the Platform.
They supersede all previous agreements, communications, and understandings relating to the same subject matter.
21.2 Severability
If any provision of these Terms is found to be invalid, illegal, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, while the remaining provisions shall remain in full force and effect.
21.3 No Waiver
The failure or delay of the Company to enforce any provision of these Terms shall not constitute a waiver of any right or remedy.
Any waiver shall only be effective if made in writing by an authorized representative of the Company.
21.4 Assignment
You may not assign, transfer, or delegate any rights or obligations under these Terms without the Company's prior written consent.
The Company may assign or transfer these Terms in connection with:
A merger;
Acquisition;
Corporate restructuring;
Sale of assets; or
Change of control.
21.5 Survival
The following provisions shall survive the termination of these Terms or your Account where necessary by their nature:
Intellectual Property;
User Content;
Limitation of Liability;
Indemnification;
Governing Law;
Dispute Resolution;
Privacy obligations;
Any provision intended to survive termination.
21.6 Language
These Terms may be translated into multiple languages for convenience.
In the event of any inconsistency between the English version and any translated version, the English version shall prevail, except where mandatory local law requires otherwise.
21.7 Electronic Communications and Acceptance
You agree that communications, notices, records, acknowledgements, and agreements relating to the Platform may be created, sent, received, stored, or accepted electronically where permitted by applicable law.
Your electronic acceptance of these Terms, including by creating an Account, selecting an acceptance box or button, or otherwise indicating consent through the Platform, may constitute evidence of your agreement to these Terms in accordance with applicable Malaysian law, including the Electronic Commerce Act 2006 [Act 658].
Nothing in this clause requires a person to use or accept electronic communications where applicable law requires consent or a different form.
